Company Background

Integra LifeSciences is a Princeton, N.J.-based global medical technology company focused on neurosurgery and regenerative tissue repair, operating through two segments: Specialty Surgery (roughly 70% of revenue), which includes neurosurgical devices, CSF management, and ENT products acquired via Acclarent in 2024; and Tissue Reconstruction (roughly 30%), which covers wound care, skin substitutes, and soft-tissue products. With approximately $1.0 billion in market capitalization and trailing twelve-month revenue near $1.6 billion, the company has spent the past three years navigating one of the most operationally intensive turnarounds in the medtech sector — a voluntary product recall at its Boston, Massachusetts facility in 2023, multiple FDA warning letters, and the construction of a replacement facility in Braintree, Massachusetts that became operational in Q2 2026.

The financial toll has been substantial. Full-year 2025 produced a GAAP net loss of $516.5 million, dominated by a $511 million non-cash goodwill impairment charge recorded in Q2 2025. The company also executed a CEO transition in May 2026, when founder and long-time Chairman Stuart Essig replaced Mojdeh Poul as President and Chief Executive Officer. Essig has positioned 2026 as a transition year, with FDA warning letter remediation commitments on track to be completed by year-end and the Braintree facility beginning inventory production for a planned Q4 2026 SurgiMend relaunch. A September 2026 investor presentation filed with the SEC confirmed the company had been actively marketing a debt refinancing to prospective lenders as a 2026 priority.

What Was Disclosed

Integra LifeSciences priced $450 million aggregate principal amount of 9.500% senior secured notes due 2033, with the sale expected to close on or about October 19, 2026, subject to customary closing conditions. The notes are general senior secured obligations of the company, guaranteed by its wholly-owned domestic subsidiaries that are guarantors under its existing senior secured credit facilities. The offering was made exclusively to qualified institutional buyers under Rule 144A and to non-U.S. persons under Regulation S, and the notes will not be registered under the Securities Act.
