Phoenix Education Partners, Inc. (NYSE: PXED) is the parent company of the University of Phoenix, one of the largest online universities for working adults in the United States, founded in 1976. The company generated $1.007 billion in revenue for fiscal year 2025 (ended August 31, 2025) and serves roughly 85,000 enrolled students. Apollo Global Management and The Vistria Group held the company as a limited partnership before converting it to a Delaware corporation and sponsoring its return to public markets.

The IPO, completed October 10, 2025, was structured entirely as a secondary offering — existing shareholders sold approximately 4.9 million shares at $32.00 per share, and the company received no proceeds. Since the IPO, substantial non-cash share-based compensation charges triggered by the offering have depressed GAAP earnings in each fiscal 2026 quarter, a dynamic management has consistently disclosed and which has led the company to direct investors toward adjusted metrics. On an adjusted basis, performance has been broadly stable: adjusted EBITDA was $188.1 million through nine months of fiscal 2026 versus $185.8 million a year earlier. What Was Disclosed

Blair Westblom separated from Phoenix Education Partners as Chief Financial Officer and Treasurer, effective October 10, 2026. A separation and release agreement signed October 9, 2026 provides Westblom with aggregate cash severance of $1,137,204, her fiscal 2026 cash bonus at whatever percentage the Compensation Committee has authorized for that year, accelerated vesting of outstanding equity awards, and an 18-month post-separation exercise period for her stock options. Performance stock units remain subject to the applicable performance conditions and are not accelerated outright. The full Separation Agreement will be publicly filed as an exhibit to the company's Annual Report on Form 10-K for the fiscal year ending August 31, 2026.
