Company Background

Nano Dimension is an Israeli-founded digital manufacturing company, now reporting as a U.S. domestic issuer after completing its transition from foreign private issuer status at the start of 2026. The company sells advanced manufacturing equipment to defense, aerospace, automotive, electronics, and medical-device customers. At approximately $341.6 million in market capitalization, it sits atop an unusually large cash pile — total cash, deposits, and marketable securities were $433.3 million as of June 30, 2026 — a legacy of years of Israeli high-tech capital raises that has made its balance sheet a recurring subject of activist interest.

Nano Dimension went on an acquisition spree in early 2025, acquiring both Desktop Metal and Markforged. Desktop Metal was placed into discontinued operations within months of acquisition and eventually deconsolidated; Markforged was agreed to be sold to Stratasys on May 27, 2026 for $42.5 million. The company also divested its AME and Fabrica product lines to Inspira Technologies in April 2026 for up to $12.5 million. For full-year 2025, revenue came in at $102.4 million — up 77.3% year-over-year due entirely to acquisitions — while GAAP net loss reached $293.6 million, including $193.3 million from discontinued operations related to Desktop Metal.

Murchinson Ltd., an activist fund based in Toronto, forced a board and management overhaul on July 17, 2026. Four directors including then-CEO David Stehlin resigned under a settlement agreement, three new Murchinson-backed directors were appointed, and Moshe Rozenbaum — a former Nano Dimension VP of Corporate Development — was installed as interim CEO. The company has suspended full-year 2026 financial guidance twice and a non-binding term sheet with speculative biotech Infinite Epigenetics expired without a deal in July 2026.

What Was Disclosed

KPMG LLP was dismissed as Nano Dimension's independent auditor on September 28, 2026 and replaced by Kesselman & Kesselman, a member firm of PricewaterhouseCoopers International Limited, known as PwC Israel. The Audit Committee approved both the dismissal and the new engagement on the same day. PwC Israel will audit the company's financial statements for the year ending December 31, 2026 and review unaudited quarterly financials beginning with the quarter ending September 30, 2026.
