Company Background

Gold.com, Inc. (NYSE: GOLD) is the newly rebranded successor to A-Mark Precious Metals, a vertically integrated precious metals platform founded in 1965. The company completed its rebrand in December 2025, simultaneously shifting its listing from Nasdaq to the New York Stock Exchange under the ticker GOLD. Operating across wholesale trading, direct-to-consumer retail, minting, and secured lending, it owns brands including JM Bullion, Monex Precious Metals, Stack's Bowers Galleries, Goldline, and Sunshine Minting.

Fiscal year 2026 — ending June 30, 2026 — was a breakout period. Revenues doubled to $25.5 billion, net income attributable to the company rose 375% to $82.3 million, and diluted EPS climbed to $3.02 from $0.71. The board declared both a special cash dividend of $1.00 per share and maintained its regular quarterly dividend of $0.20. Tether's affiliate TPM completed a $150 million PIPE financing in February 2026 and now holds approximately 11.5% of the company's shares, with board representation.

Despite the strong operating year, several institutional changes arrived in a compressed window in September 2026. Longtime CFO Cary Dickson retired on September 18, succeeded by internal candidate Jill Van. The Audit Committee dismissed Grant Thornton LLP — ratified by shareholders just ten months prior in November 2025 — and appointed KPMG, effective September 14.

What Was Disclosed

On September 29, 2026, Gold.com entered into a Second Amended and Restated Uncommitted Credit Facility Agreement with CIBC Bank USA serving as administrative agent. The new agreement amends and restates in full the company's prior credit agreement, which had been expanded in February 2026 to $427.5 million following an earlier amendment.
