FERA Falls Below Nasdaq Holder Minimum With Merger Pending
Company Background
Fifth Era Acquisition Corp. I is a blank-check company incorporated in the Cayman Islands that raised approximately $230 million in its March 2025 initial public offering. It is affiliated with Fifth Era Partners LP, an SEC-registered investment adviser focused on high-growth technology sectors, and its shares trade on Nasdaq under the ticker FERA.
In April 2026, FERA announced a business combination with SMT Holdings Limited, an Abu Dhabi-based company that brands itself as Miotal — a strategic metals platform claiming ownership of one of the largest known consolidated inventories of high-purity strategic metals. Under the deal, Miotal's shareholders would receive shares in a newly formed holding company valued at $10 billion in aggregate, at $10.00 per share. The underlying metals stockpile — ultrafine copper powder, ultrafine nickel wire and rare earth metals held in Switzerland — was estimated in the filing at approximately $35 billion based on prevailing market prices at the time, though the filing explicitly cautioned that actual value could vary substantially.
FERA originally expected the transaction to close in the first half of 2026. That deadline has passed without a closing, and no merger proxy or registration statement has yet appeared on the company's public filing timeline.
What Was Disclosed
Nasdaq granted FERA an extension on November 5, 2026, giving the company until March 15, 2027 to cure a deficiency under Listing Rule 5450(a)(2), which requires at least 400 total holders for continued listing on the Nasdaq Global Market. If FERA fails to file documentation from its transfer agent or an independent source demonstrating at least 400 total holders by that date, Nasdaq will issue a formal written notice that the company's securities will be delisted. FERA would retain the right to appeal that determination to a Nasdaq Listing Qualifications Panel.
