PBT Unitholders to Vote on Converting Passive Trust Into Active Corporation
Company Background
Permian Basin Royalty Trust is a passive royalty trust organized to hold net profits interests in oil and gas properties in the Permian Basin. Passive trusts of this kind have fixed asset pools, no active management, and are designed to distribute proceeds and wind down over time — not to acquire assets, issue equity, or employ management. The Trust's approximately 46.6 million units trade on the NYSE.
The Trust draws income from two main property groups: the Texas Royalty Properties and the Waddell Ranch, which is operated by Blackbeard Operating LLC. The Waddell Ranch has been in a continuing excess cost position throughout 2026 — meaning production costs have consistently exceeded gross proceeds — and has contributed nothing to distributions during that period. Monthly distributions have come entirely from the Texas Royalty Properties, ranging from roughly $0.01 to $0.05 per unit in recent months.
SoftVest Advisors, LLC and affiliated unitholders have been pushing since late 2025 to restructure the Trust into a conventional operating company. That campaign has advanced through two special meetings, a lawsuit, and a court-ordered rewrite of the Trust's governing document.
What Was Disclosed
A special meeting of Trust unitholders is set for November 23, 2026, with a record date of October 13, 2026. The meeting was triggered by a formal request from SoftVest Advisors, LLC and allied unitholders who collectively hold more than 15% of the Trust's outstanding units — the threshold required under the Trust Indenture to compel the trustee, Argent Trust Company, to call a meeting.
