Alliance Entertainment Holding Corporation (Nasdaq: AENT) is a Plantation, Florida-based distributor of physical media and pop culture collectibles, supplying more than 340,000 SKUs across music, video, games, and licensed merchandise to over 35,000 retail and e-commerce storefronts. The company operates at roughly $1.1 billion in annual revenues and has posted improving profitability over the past two fiscal years, with fiscal year 2025 net income of $15.1 million, up 229% from the prior year, and a nine-month fiscal 2026 net income of $16.6 million.
Ownership is heavily concentrated. Executive Chairman Bruce Ogilvie, through the Bruce Ogilvie, Jr. Trust and the Ogilvie Legacy Trust, and CEO Jeffrey Walker together held approximately 95.3% of the company's total voting power as of June 2026. That control is distributed across two share classes: Class A Common Stock and Class E Common Stock, both of which carry voting rights under the company's Second Amended and Restated Certificate of Incorporation, which has been operative since February 10, 2023.
Financially, the company refinanced into a $120 million senior secured revolving credit facility with Bank of America in October 2025, replacing a prior White Oak Commercial Finance arrangement and a $10 million subordinated shareholder loan. The stated basis: "the Third A&R Certificate was not approved in compliance with the Second A&R Certificate." Upon the correction's filing, the Second A&R Certificate, as originally filed on February 10, 2023, was reinstated as the operative certificate of incorporation.
